ADVERTISING SERVICES AGREEMENT

Limited Liability Company «TMY», located at: Georgia, Tbilisi, Didube District, Uznadze str., N111, aprt. 11, building 2, Identification Number: 402177381, (Extract from Registry of Entrepreneurs and Non-Entrepreneurial B21001605 от 14/01/2021), hereinafter referred to as "TMY" on the one hand, and the Physical/Legal entity engaged in business activities, hereinafter referred to as the "Agent", on the other hand, and collectively referred to as the "Parties", have concluded this agreement on the following:

1. General provisions

1.1. The Parties to this agreement are members of the TMY blockchain community.

TMY assigns the Agent to carry out advertising, consulting and information activities in order to promote the activities of TMY.

1.2. The Agent serves the clients and partners of TMY who have become such as a result of its advertising, consulting and information activities, for which it receives remuneration in the form of a fee.

1.3. The Agent has the right to create and manage team, receiving remuneration for this according to the loyalty program.

1.4. The Agent is not entitled to accept payment funds from the client.

Agents are not entitled to provide clients with other financial services, including services for converting fiat money into digital assets or currencies (crypto currencies, etc.).

All payments and settlements between the agent and TMY, directly or indirectly related to this agreement, are made in the personal accounts of the Agents and TMY, located on the platform of the blockchain community "TMY" in the units of account used by the platform.

1.5. TMY processes automatically all data related to its customers. TMY may only provide information related to the Agent and its clients to third parties in cases provided for by law.

1.6. The Agent keeps confidential all information concerning TMY's clients and partners, both during the term of this agreement and after its termination.

2. Duties of the Customer Service Agent

2.1. The Agent introduces TMY's clients to the company's activities and the risks associated with them.

2.2. The Agent does not have the right to use aggressive methods of distribution, as well as to provide false and inaccurate information to clients in relation to TMY.

2.3. The agent immediately transmits to TMY all important comments of the clients that relate to the business of TMY.

2.4. The Agent must allow the client to make their own decision.

2.5. The Agent is not entitled to make a promise of profit.

2. Duties of the Customer Service Agent

2.1. The Agent introduces TMY's clients to the company's activities and the risks associated with them.

2.2. The Agent does not have the right to use aggressive methods of distribution, as well as to provide false and inaccurate information to clients in relation to TMY.

2.3. The agent immediately transmits to TMY all important comments of the clients that relate to the business of TMY.

2.4. The Agent must allow the client to make their own decision.

2.5. The Agent is not entitled to make a promise of profit.

2.6. The Agent is also obliged to:

2.6.1. To carry out its activities independently at its own expense and at its own risk, covering all necessary expenses, except for expenses that can be compensated according to the loyalty program.

2.6.2. Systematically carry out work on the selection and training of new consultants. Organize training for them in the form of specialized thematic conversations, lectures, seminars, etc. Assist in their internships under the guidance of more experienced specialists and consultants, provide them with constant assistance and support in developing independent activities.

2.6.3. Organize the work of direct subordinate agents in accordance with their qualification requirements.

2.6.4. In the event of any unforeseen circumstances that adversely affect the activities or reputation of TMY, immediately inform your direct superior agent and the administration of TMY about these facts in writing.

2.6.5. Take part in all mandatory events organized by TMY, especially those related to the agent's professional development.

2.6.6. To be trained at specialized and qualification seminars organized by TMY, while promoting the agent on the career ladder.

2.6.7. Do not contact the TMY administration regarding the transition from one directorate to another or the replacement of a direct superior agent with another.

2.6.8. Independently determine the place, time and scope of its activities provided for in this contract.

2.6.9. If necessary, through the head of its team, make proposals in writing to improve the effectiveness of TMY's activities.

2.6.10 Be registered as a business entity and carry out its activities in accordance with the legislation.

3. Remuneration and career growth

3.1. The Agent's remuneration depends on his / her agency level in the company's career ladder. The basis for calculating the remuneration is the number of transactions concluded between TMY and the clients attracted by the Agent.

3.2. The Agent's remuneration is equal to the multiplication of the product sales volume by its percentage of profitability, according to its agency level (Appendix 1). The remuneration is calculated automatically after the product sales are completed. When calculating the remuneration, the sales volume made both personally by the Agent and by its team is taken into account.

3.3. Each Agent receives information about all TMY products sold as a result of its advertising and consulting activities, as well as its team, through its personal account.

3.4. The Agent has the right to object to the provided data within 5 calendar days to the address of TMY.

3.5. The relationship between the relevant Agent and his / her employees under his / her supervision is determined in accordance with the career ladder approved by TMY.

3.6. Payment of remuneration of each Agent is made within 3–7 working days after the end of the working month.

3.6.1. All Agent's remuneration is calculated in accordance with the career ladder – Appendix 1. The amount of remuneration is set as a percentage according to Appendix 1. The amount of remuneration due to the Agent, set in Appendix 1, is the maximum possible amount and can be changed by TMY unilaterally.

4. Advertising

4.1. TMY allows conducting advertising activities in order to promote the Company in the press, on radio, television and the Internet.

5. TMY Representative offices

5.1. TMY Agents have the right to organize regional and team interregional offices for the implementation of their activities, which are not representative TMY offices and branches.

5.2. TMY is not liable for the work of local offices and does not participate in the work with local administrative authorities.

6. Bonus program

6.1. TMY agent has the right to receive additional cash bonuses from the Company according to the bonus program – Appendix 1.

According to the terms of the bonus program, the Agent must personally, or together with his / her team, fulfill the sales volumes necessary to fulfill the conditions of the bonus program. TMY bonus program is not tied to the level of the Agent and depends entirely on the sales volume of the Agent and his / her team. One of your Agents cannot account for more than 50% of the required sales volume to receive bonuses.

6.2. The Agent has the right to object to the bonus compensation provided to him / her to the Company within 5 (Five) calendar days.

6.3. When introducing new bonus rewards and changes related to the bonus program, the Agent will be further informed.

6.4. The volume and amount of bonuses due to the Agent and set in Appendix 1, is the maximum possible and can be changed by TMY unilaterally.

7. Contract term

7.1. This agreement is concluded for an indefinite period.

7.2. The agreement may be terminated by mutual agreement of the Parties by notification of the Parties not later than one month prior to termination.

7.3. The Company has the right at any time without prior notice to terminate the contract or to terminate (suspend, freeze) payments due to the Agent for the following reasons:

7.3.1. The Agent violates applicable local and international laws.
7.3.2. The Agent by his / her actions compromises TMY business reputation.

7.3.3. The Agent grossly violates the terms of the contract.

7.3.4. The Agent makes public and non-public statements to other Agents, causing damage to TMY reputation.

7.3.5. No sales from the Agent or his / her team for more than 3 months.

7.3.6. If it is determined that the Agent works without TMY permission, or for another company engaged in such activities.

7.3.7. If the Agent does not provide accurate and clear information about the degree of risk of TMY’s products or makes promises and forecasts about unrealistic profits.

8. Other additional terms

8.1. If an error is made in entering information into the database due to TMY's fault, the Agent has the right to request corrections within 15 (Fifteen) calendar days after the fact is established. For this purpose, the Agent sends an application electronically to TMY's e-mail.

8.2. The Agent shall be personally liable to the tax authorities of the country of which he / she is a citizen for the payment of taxes on income from his / her activities as TMY Agent.

8.3. The Agent is obliged to resolve all issues related to the payment of all insurance, pension, medical and other social contributions due from him / her in accordance with the legislation of his / her country. TMY has no obligation to pay all the mandatory contributions listed.

8.4. In case of the Agent's death, if his career level is higher than the 5th, within 3 (Three) years from the date of his death, his legal heirs are paid a part of the income of the Agent's team according to the following scheme: the first year — 75% of income, the second year — 50% of income and the third year — 25% of income, or, at the Agent's preliminary request, the position and team in TMY career ladder is provided to his heirs by law or by a will certified by the competent authority.

8.5. All Appendixes specified in this agreement, as well as Appendixes regarding future products of the Company, are an integral part of this agreement. All new changes and additions are published on the Company's website 5 (Five) days prior to their commencement.

8.6. In case of transfer of the permanent exclusive right to the computer program from TMY to a third party, for the purpose of advertising of which this agreement is concluded. On TMY side under this agreement there is a replacement of persons in the obligation, in favour of the new owner of the exclusive right to the computer program, to which the Agent agrees in advance.

9. Disagreements and legal relations

9.1. The Parties have agreed that all disputes arising in connection with the performance of this Agreement shall be resolved through friendly negotiations and consultations between the Parties. If no agreement is reached, the dispute shall be referred to the competent authorities or arbitration court in accordance with the current legislation of Georgia. All disputes arising out of this agreement shall be considered by the court at the location of TMY.

Appendix 1

To the advertising services agreement

1.1. This application is intended to form the order of the Career ladder and specify the requirements necessary to achieve the appropriate level of the Agent.

1.2. In the course of rendering advertising services, the Agent may purchase one of the following levels if the conditions set out in this agreement are met, namely:
